1. Services
Vebtual provides custom AI solutions, including but not limited to, custom AI systems development, generative AI platforms, AI integration and automation, AI model training and RAG applications, and real-time AI applications. The specific scope of services for each client will be outlined in a separate agreement.
2. Intellectual Property
The Service and its original content, features and functionality are and will remain the exclusive property of Vebtual and its licensors. The software, code, and other materials developed by Vebtual as part of the services will be owned by the client upon full payment, as specified in the individual client agreement.
3. Client Responsibilities
Clients are responsible for providing all necessary information, data, and access to existing systems as required for Vebtual to perform the agreed-upon services.
4. Payment Terms
Payment terms for services will be detailed in the individual client agreement. This will include the total fee, payment schedule, and any applicable late payment penalties.
5. Confidentiality
Both Vebtual and the client agree to keep all confidential information exchanged during the course of the project private and not to disclose it to any third party, except as required by law.
6. Limitation of Liability
In no event shall Vebtual, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
7. Termination
We may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
8. Changes
We reserve the right, at our sole discretion, to modify or replace these Terms at any time.
